Licence terms
Project2Planner licence terms
Version 1.0, as of 19 October 2026
1. Scope
These terms govern the use of the software Project2Planner, an add-in for the Microsoft Project desktop application, provided by Holert GmbH, Luise-Ullrich-Straße 20, 80636 Munich, Germany ("Holert"), to the customer named in the order ("Customer"). They apply to businesses within the meaning of section 14 of the German Civil Code (BGB) only. Terms of the Customer do not apply, even if Holert does not object to them. In case of conflict, the order takes precedence over these terms.
2. Subject
Holert provides the add-in for download, its documentation, and updates during the licence term. The add-in synchronises tasks between Microsoft Project and Microsoft Planner. Its use requires Microsoft Project desktop and a Microsoft 365 subscription with Microsoft Planner, which the Customer obtains from Microsoft under Microsoft's terms.
3. Licence
For the term agreed in the order, Holert grants the Customer a non-exclusive, non-transferable and non-sublicensable right to use the add-in for the number of named users agreed in the order, within the Customer's Microsoft 365 tenant. A named user is a person identified by their sign-in name. The Customer may reassign a licence to another person, for example when an employee leaves; Holert updates the licence within two working days of the Customer's notice. If the order licenses the Customer's tenant as a whole, every user of that tenant is licensed.
4. Evaluation
Every user without a licence may evaluate the add-in free of charge for 30 days. The evaluation serves testing only. After it ends, the add-in refuses synchronisation until a licence is in place; the project itself remains usable. Sections 10 and 11 do not apply to the evaluation; Holert is liable only for intent, gross negligence and fraudulently concealed defects.
5. Licence check
When a user signs in, the add-in retrieves the licence data of the Customer's tenant from Holert and checks whether the user is licensed. The check needs no configuration in the Customer's tenant. If Holert cannot be reached, the last known result remains valid for 14 days. The Customer must not circumvent or disable the check.
6. Restrictions
The Customer must not copy the add-in beyond what its intended use requires, modify, decompile or disassemble it except where section 69e of the German Copyright Act (UrhG) permits, rent it out, sublicense it, or use it to provide services to third parties. Copyright notices must not be removed.
7. Third-party components
The add-in contains open source components, which are subject to their own licences (see the annex). These licences take precedence over these terms for the respective component.
8. Data protection
What the add-in transmits and why is described in the privacy notice for the Project2Planner add-in. Where Holert processes personal data on behalf of the Customer, the parties conclude a data processing agreement; sales provides it on request.
9. Updates
The add-in updates itself from Holert's download location. Holert may change functions as long as the agreed core function, synchronising tasks between Microsoft Project and Microsoft Planner, is preserved. Holert is not responsible for changes Microsoft makes to Microsoft 365, Microsoft Planner or Microsoft Graph; Holert will adapt the add-in to such changes within reasonable time where this is technically and economically feasible.
10. Fees and term
Fees and term follow the order. Licences are sold per named user per year. Unless agreed otherwise, the licence ends at the end of the term; a renewal requires a new order.
11. Defects
Holert remedies defects of the add-in reported by the Customer, at its choice by correction, workaround or update. Claims for defects become time-barred after 12 months, except in cases of intent, gross negligence or fraudulent concealment.
12. Liability
Holert is liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and under a guarantee. For slight negligence, Holert is liable only for the breach of an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment the Customer may rely, limited to the foreseeable damage typical for the contract. For loss of data, Holert is liable only for the effort of restoring it from backups that the Customer makes regularly. Otherwise liability is excluded.
13. Final provisions
These terms are issued in English only; the English version is binding. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is Munich, Germany, provided the Customer is a merchant, a legal entity under public law or a special fund under public law. Should a provision be invalid, the remaining provisions stay effective.
